Terms of Service

Please read these Terms of Service ("Terms") carefully. By accessing or using the Brightr platform, the website at www.brightrhq.com (the "Site"), or any related services, applications, or communications (collectively, the "Service"), you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to all of these Terms, do not use the Service.

The Service is owned and operated by Beacon Mobile, Inc., a Delaware corporation ("Beacon Mobile," "we," "us," or "our").

1. Changes to These Terms

Beacon Mobile reserves the right to modify these Terms at any time in its sole discretion. Changes are effective immediately upon posting to the Site. Your continued use of the Service after posting constitutes acceptance of the revised Terms. If you do not agree to any revised Terms, you must stop using the Service. We encourage you to review these Terms periodically.

2. Eligibility

2.1 General. You must be at least thirteen (13) years of age to access or use the Service. If you are under thirteen (13), you may not use the Service or provide any personal information through it.

2.2 SMS Messaging Program. You must be at least eighteen (18) years of age to opt in to the Brightr SMS Messaging Program described in Section 5. By opting in, you represent and warrant that you are eighteen (18) or older.

3. Account Terms

You must be a human being. Accounts registered by bots or other automated methods are not permitted. You must provide your correct legal name (or your business's legal name), a valid email address, and any other information requested to complete the registration process. You are responsible for maintaining the security of your account and password. Beacon Mobile will not be liable for any loss or damage resulting from your failure to maintain account security. You may not use the Service for any illegal or unauthorized purpose. You must not, in your use of the Service, violate any applicable law, rule, or regulation, including without limitation intellectual property laws.

4. Description of Service

4.1 The Brightr Platform. Brightr is a concierge platform serving event communities across the United States. The Service provides event information, schedules, logistics, answers to attendee questions, and related content through a web-based interface and SMS messaging.

4.2 Availability. Beacon Mobile will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week, except for: (i) planned downtime, of which Beacon Mobile will endeavor to provide advance notice; and (ii) unavailability caused by circumstances beyond Beacon Mobile's reasonable control, including without limitation acts of God, acts of government, floods, fires, earthquakes, civil unrest, acts of terror, strikes or other labor problems, internet service provider failures or delays, or denial of service attacks.

4.3 Coverage Areas. The geographical areas covered by the Service ("Coverage Areas") may be modified by Beacon Mobile from time to time at its sole discretion. Beacon Mobile makes no representations or warranties regarding the Coverage Areas and reserves the right to increase, decrease, or modify the Coverage Areas without liability.

4.4 Third-Party Applications and Services. If you access the Service through a third-party application or service, you are responsible for ensuring that you have obtained all necessary rights, licenses, and authorizations. You acknowledge and agree that Beacon Mobile may allow third parties to access your data as necessary for interoperation of such third-party applications with the Service. Beacon Mobile is not responsible for any disclosure, modification, or deletion of your data resulting from such third-party access.

5. SMS Messaging Program

5.1 Program Description. The Brightr Event Concierge SMS Program (the "SMS Program") is operated by Beacon Mobile, Inc. The SMS Program sends users: (i) informational and transactional messages, including event schedules, logistics updates, answers to attendee questions, and event reminders; and (ii) occasional promotional messages, including suggestions for related events, activities, or experiences, participation prompts, and cross-promotional content. Message frequency varies depending on the event and your interactions with the Service.

5.2 Consent and Opt-In. By providing your mobile phone number and affirmatively consenting through one of the methods described below, you expressly agree to receive autodialed or prerecorded text messages from Beacon Mobile at the mobile number you provide, including both informational and promotional messages as described in Section 5.1. Your consent is not a condition of purchasing any goods or services from Beacon Mobile or any event organizer. You may opt in to the SMS Program through either of the following methods:

5.2(a) Web Form Opt-In (Primary). You may opt in by completing the web-based opt-in form (currently located at ask.brightrhq.com/signup). At the time of submission, you must actively check the consent checkbox (which is unchecked by default), affirm that you are at least eighteen (18) years of age, and agree to receive autodialed informational and promotional text messages from Beacon Mobile. The consent checkbox must display, at minimum: (i) a description of the types of messages you will receive; (ii) that message frequency varies and message and data rates may apply; (iii) that consent is not a condition of any purchase; (iv) instructions for opting out (reply STOP) and obtaining help (reply HELP); and (v) links to these Terms and the Privacy Policy. Your opt-in is complete upon submission of the form with the consent checkbox checked. You will receive a confirmation message acknowledging your enrollment.

5.2(b) Keyword Opt-In (Secondary; Double Opt-In Required). You may initiate the opt-in process by texting a designated keyword to Beacon Mobile's messaging number in response to published instructions at a participating event or on event materials. Texting the keyword alone does not constitute consent and does not complete your enrollment. Upon receiving your keyword message, Beacon Mobile will send you a single confirmation message that includes: (i) a description of the SMS Program and the types of messages you will receive; (ii) a request that you affirm you are at least eighteen (18) years of age; (iii) a disclosure that message frequency varies and message and data rates may apply; (iv) a statement that consent is not a condition of any purchase; (v) instructions for opting out (reply STOP) and obtaining help (reply HELP); (vi) links to these Terms and the Privacy Policy; and (vii) a prompt to reply with an affirmative keyword (e.g., "YES") to confirm your enrollment. Your opt-in is complete only upon Beacon Mobile's receipt of your affirmative reply to the confirmation message. If you do not reply to the confirmation message, you will not be enrolled in the SMS Program and will not receive any further messages. Beacon Mobile retains the confirmation message content, your affirmative reply, and the associated timestamp as part of your consent record.

5.2(c) General. Standard message and data rates may apply to messages sent and received in connection with the SMS Program, including during the opt-in process described in Section 5.2(b).

5.3 Opt-Out. You may opt out of the SMS Program at any time by: (i) replying STOP to any message you receive from us; (ii) emailing support@brightrhq.com with the subject line "SMS Opt-Out" and including the phone number you wish to unenroll; or (iii) any other reasonable method that clearly communicates your intent to stop receiving messages. We will process your opt-out request promptly and send a single confirmation message confirming your unenrollment. After opting out, you will not receive further messages unless you opt in again.

5.4 Help. For help or questions about the SMS Program, reply HELP to any message you receive from us, or contact support@brightrhq.com.

5.5 No Sharing of SMS Opt-In Data. Mobile phone numbers and consent records collected for the SMS Program will not be sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes.

5.6 Supported Carriers. The SMS Program is designed to work with major U.S. mobile carriers. Beacon Mobile is not responsible for messages that are delayed or undelivered due to carrier network issues.

5.7 Privacy. Your use of the SMS Program is subject to Beacon Mobile's Privacy Policy, available at ask.brightrhq.com/privacy. The Privacy Policy describes the information we collect in connection with the SMS Program and how we use and protect it.

6. User Conduct

You shall not: (i) use manual or automated software, devices, scripts, robots, or other means to access, scrape, crawl, or spider any content or web pages on or relating to the Service; (ii) reproduce, duplicate, copy, sell, or resell any portion of the Service without Beacon Mobile's prior written consent; (iii) transmit any worms, viruses, or code of a destructive nature; (iv) use the Service for purposes of monitoring its availability, performance, or functionality, or for any benchmarking or competitive purposes; or (v) use the Service in any manner that violates these Terms or any applicable law.

7. Intellectual Property

All content available through the Service, regardless of whether created by Beacon Mobile or by third parties ("Third-Party Content"), is protected by applicable copyright and other intellectual property laws. The look and feel of the Service, including all page headers, custom graphics, button icons, and scripts, is the sole and exclusive property of Beacon Mobile. All rights are reserved. You may not duplicate, copy, distribute, or reuse any portion of the visual design elements without Beacon Mobile's prior written consent. Beacon Mobile does not pre-screen Third-Party Content but reserves the right (without obligation) to remove any content that it determines, in its sole discretion, violates these Terms or is otherwise objectionable.

8. Trademarks

The Brightr and Beacon Mobile logos and any other product or service name or slogan contained in the Service are trademarks of Beacon Mobile, Inc. and its suppliers or licensors, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Beacon Mobile or the applicable trademark holder. You may not use any metatags or other hidden text utilizing "Beacon Mobile," "Brightr," or any other name, trademark, or product or service name of Beacon Mobile without Beacon Mobile's prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned in the Service are the property of their respective owners. Reference to any products, services, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by Beacon Mobile.

9. Copyright Policy

Beacon Mobile respects the intellectual property rights of others and has implemented a copyright policy in accordance with the Digital Millennium Copyright Act ("DMCA") and other relevant laws. Beacon Mobile will respond to valid notices of copyright infringement and reserves the right to terminate, at its sole discretion and without notice, the accounts of users who repeatedly infringe copyrights or other intellectual property rights.

9.1 DMCA Notices. If you believe any content posted or made available through the Service constitutes infringement of your copyright, you may send a written notice of infringement to Beacon Mobile's designated Copyright Agent at the address below. Your notice must include: (i) an electronic or physical signature of the copyright owner or a person authorized to act on the owner's behalf; (ii) a description of the copyrighted work claimed to have been infringed and identification of the infringing material, including its location on the Service; (iii) your name, title, address, telephone number, and email address; (iv) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (v) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

10. Third-Party Applications and Services

Beacon Mobile does not warrant and is not responsible for the legality, quality, accuracy, reliability, or availability of any third-party applications or services ("Third-Party Apps") that you may purchase or connect to through the Service. Your agreement to use Third-Party Apps is solely between you and the applicable third-party provider. If you install or enable Third-Party Apps for use with the Service, you acknowledge that Beacon Mobile may access and use your data and basic account information as necessary for provisioning and interoperation of such Third-Party Apps with the Service. You may restrict such access by not enabling or by disabling Third-Party Apps.

11. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACON MOBILE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BEACON MOBILE DOES NOT WARRANT THAT: (i) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (iv) THE QUALITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. BEACON MOBILE IS NOT LIABLE FOR YOUR USE OF OR RELIANCE ON ANY INFORMATION OBTAINED THROUGH THE SERVICE, INCLUDING WITHOUT LIMITATION EVENT SCHEDULES, LOGISTICS, DIRECTIONS, OR RECOMMENDATIONS PROVIDED THROUGH THE BRIGHTR CONCIERGE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEACON MOBILE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BEACON MOBILE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (i) YOUR USE OF OR INABILITY TO USE THE SERVICE; (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iii) STATEMENTS, CONTENT, OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE; (iv) ANY MESSAGES SENT OR NOT SENT THROUGH THE SMS PROGRAM; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEACON MOBILE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, BEACON MOBILE'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Beacon Mobile, its officers, directors, employees, agents, and successors from and against any and all claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of the Service in violation of these Terms; (ii) your violation of any applicable law, rule, or regulation; (iii) any claim that your use of the Service infringes or misappropriates the intellectual property or proprietary rights of a third party; or (iv) any content or data you submit, post, or transmit through the Service.

14. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

14.1 Informal Resolution. Before initiating any arbitration or court proceeding, you and Beacon Mobile each agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally. The party raising the Dispute shall send the other party a written notice describing the Dispute and the relief sought (a "Dispute Notice"). Dispute Notices to Beacon Mobile must be sent to: Beacon Mobile, Inc., ATTN: Legal, 41 University Drive, Suite 400, Newtown, PA 18940, or by email to matt@brightrhq.com. The parties shall attempt to resolve the Dispute through good-faith negotiation for thirty (30) days after the Dispute Notice is received. If the Dispute is not resolved within that period, either party may proceed to arbitration as set forth below.

14.2 Binding Arbitration. If a Dispute is not resolved through informal resolution, you and Beacon Mobile agree that such Dispute shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration shall be conducted by a single arbitrator, in Bucks County, Pennsylvania (or, at your election, by telephone or videoconference if you reside outside of Pennsylvania). The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver. YOU AND BEACON MOBILE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Neither you nor Beacon Mobile shall be entitled to join or consolidate claims in arbitration by or against other individuals or entities, or arbitrate or litigate any Dispute on a class-wide or representative basis. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement (Section 14) shall be null and void, and the Dispute shall proceed in court subject to Section 15.

14.4 Opt-Out. You may opt out of this arbitration agreement by sending written notice to Beacon Mobile at the address in Section 14.1 within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, neither party is precluded from seeking remedies in court. If you do not opt out, you will be bound by this arbitration agreement.

14.5 Fees. Each party shall bear its own attorneys' fees and costs. AAA filing and administration fees and arbitrator fees shall be governed by AAA rules.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. For any Dispute not subject to arbitration under Section 14 (including Disputes where the arbitration agreement is found unenforceable, or Disputes brought in small claims court), you and Beacon Mobile agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Bucks County, Pennsylvania.

16. Termination

Beacon Mobile, in its sole discretion, may suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time. Such termination may result in the deactivation or deletion of your account or your access to your account. Beacon Mobile reserves the right to refuse service to anyone for any reason at any time.

17. Modifications to the Service

Beacon Mobile reserves the right at any time to modify or discontinue, temporarily or permanently, the Service or any part thereof, with or without notice. Beacon Mobile shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Beacon Mobile regarding your use of the Service, superseding any prior agreements between you and Beacon Mobile, including any prior versions of these Terms.

18.2 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

18.3 Waiver. The failure of Beacon Mobile to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment. Beacon Mobile may assign its rights and obligations under these Terms without your consent. You may not assign your rights or obligations under these Terms without Beacon Mobile's prior written consent.
